Terms of Service
The agreement between you and Centro

These Terms of Service ("Terms") govern your access to and use of the Centro platform, including the website at withcentro.com, the Centro web application, and the Centro mobile application for iOS and Android (collectively, the "Service"), operated by Centro ("we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Service.
1. Definitions
- "Club" — A youth sports organization, academy, or team that uses Centro to manage its operations.
- "Member" — Any individual associated with a Club on the platform, including owners, coaches, parents, and players.
- "Platform Fee" — The 2% fee Centro charges on digital payments processed through the platform via Stripe Connect.
- "Online Payment" — A payment made by a Member to a Club through the platform via Stripe Connect, as distinguished from cash, check, or other manual payments recorded in the platform.
- "Your Content" — All data and content submitted to the Service by users, including player information, team rosters, schedules, documents, waivers, and communications.
2. Eligibility
You must be at least 18 years of age to create an account and use the Service. By creating an account, you represent that you are at least 18 years old and have the legal capacity to enter into these Terms. The Service is designed for youth sports organizations; however, all accounts must be held by adults (club owners, coaches, parents, or administrators).
3. Accounts
3.1 Account Creation
To use certain features of the Service, you must create an account. You agree to provide accurate, current, and complete information during registration and to update your information to keep it accurate. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
3.2 Account Security
You must immediately notify us at support@withcentro.com of any unauthorized use of your account or any other security breach. We are not liable for any loss or damage arising from your failure to protect your account credentials.
3.3 Account Termination
You may close your account at any time by contacting us. We may suspend or terminate your account if you violate these Terms, engage in fraudulent activity, or if required by law. Upon termination, your right to use the Service ceases immediately.
4. Service Description
Centro provides a cloud-based platform and mobile application for youth soccer clubs and sports organizations to manage their operations, including but not limited to:
- Player and member registration
- Payment collection and invoicing
- Team scheduling and calendar management
- Roster and attendance tracking
- Coach-parent communication and real-time messaging
- Player evaluations and development tracking
- Document management (waivers, forms)
- Bilingual support (English and Spanish)
4.1 Beta Service
Centro is currently in a pre-release (beta) phase. The Service may contain bugs, errors, or incomplete features. We are actively developing and improving the platform. By using the Service during this beta phase, you acknowledge and accept that (a) the Service may not perform as expected, (b) features may be added, modified, or removed without notice, and (c) data loss, while unlikely, is possible. We disclaim any additional liability arising from the beta nature of the Service beyond what is stated in these Terms.
We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice. We are not liable for any modification, suspension, or discontinuation of the Service.
5. Pricing and Fees
5.1 Subscription
Centro is available for $25 per month. All currently available platform features are accessible to every club with an active subscription. There are no paid tiers or per-player fees. New clubs receive a 14-day free trial with full access to all features. Current pricing details are available at withcentro.com/pricing.
5.2 Platform Fee
Centro charges a platform fee of 2% on each digital payment processed through the Service via Stripe Connect. This fee applies to payments made by your members (parents, players) through the Centro checkout system.
How the fee works: When a member makes an online payment, the transaction is processed as a direct charge on your club's connected Stripe account. Centro's 2% platform fee is automatically deducted from the transaction before funds are deposited to your Stripe account. For example, on a $100 payment, Stripe's processing fee (approximately $3.20) is deducted first, then Centro's 2% fee ($2.00), and the remaining amount (approximately $94.80) is deposited to your account.
What is NOT subject to the platform fee: Payments recorded manually in Centro (such as cash, check, Zelle, or Venmo payments) are not subject to Centro's platform fee. The platform fee applies only to payments processed online through Stripe.
5.3 Stripe Connect and Payment Processing
To collect online payments through Centro, your club must set up and maintain a connected Stripe Express account. By connecting your Stripe account, you agree to Stripe's Connected Account Agreement (stripe.com/connect-account/legal) in addition to these Terms.
Your club is the merchant of record for all transactions with your members. Centro facilitates the technology for payment collection but is not a party to the financial transaction between your club and your members. You are responsible for:
- Maintaining your Stripe account in good standing
- Complying with Stripe's terms and policies
- Handling all refunds and payment disputes with your members
- All tax reporting, collection, and remittance obligations related to payments you receive
- Ensuring the amounts you charge your members are accurate and lawful
Centro is not responsible for Stripe account holds, freezes, or payment delays imposed by Stripe. If your Stripe account is suspended or terminated by Stripe, Centro cannot process online payments for your club until the issue is resolved with Stripe directly.
5.4 Third-Party Processing Fees
In addition to Centro's 2% platform fee, Stripe charges its own processing fees (currently approximately 2.9% + $0.30 per credit card transaction). These fees are set and controlled by Stripe and may change at any time. Centro has no control over Stripe's processing fees and is not responsible for changes to them.
5.5 Refunds
Refunds to your members are processed through your connected Stripe account. You can issue full or partial refunds through the Centro platform or directly through your Stripe dashboard. When a refund is issued, Centro's 2% platform fee for that transaction is also refunded. Stripe's processing fees may or may not be refunded depending on Stripe's policies at the time.
If you believe Centro charged a platform fee in error, contact us at support@withcentro.com within 30 days.
5.6 Fee Changes
We may change our platform fee percentage at any time. We will provide at least 60 days' advance notice of any fee change via email to the account owner. Your continued use of the Service's payment features after a fee change takes effect constitutes acceptance of the new fee. If you do not agree with the new fee, you may stop using Centro's online payment features (you can still use the platform for all other features at no cost).
6. Your Data and Content
6.1 Data Ownership
You retain ownership of all data and content you submit to the Service ("Your Content"), including player information, team rosters, schedules, documents, and communications. We do not claim ownership of Your Content.
6.2 License to Centro
By submitting Your Content to the Service, you grant us a limited, non-exclusive, worldwide license to use, process, and store Your Content solely for the purpose of providing and improving the Service. This license terminates when you delete Your Content or close your account.
6.3 Data Export
You may export Your Content from the Service at any time. Upon account termination, we will make Your Content available for export for a period of 90 days, after which it will be permanently deleted.
6.4 Responsibility for Content
You are solely responsible for the accuracy, legality, and appropriateness of Your Content. You represent that you have all necessary rights and permissions to submit Your Content, including any personal information of third parties (such as player and parent data).
6.5 Data Processing Roles
When a Club enters player, parent, or other member data into Centro, the Club acts as the data controller and Centro acts as a data processor on the Club's behalf. The Club is responsible for obtaining any necessary consents from its Members for the collection and processing of their personal information. Centro processes such data solely as directed by the Club and in accordance with these Terms, our Privacy Policy, and our Data Processing Agreement.
7. Acceptable Use
You agree not to use the Service to:
- Violate any applicable law, regulation, or third-party right
- Upload or transmit viruses, malware, or other harmful code
- Attempt to gain unauthorized access to the Service, other accounts, or related systems
- Interfere with or disrupt the integrity or performance of the Service
- Send spam, unsolicited messages, or marketing communications through the Service
- Impersonate any person or entity, or falsely state your affiliation
- Collect or harvest personal information of other users without authorization
- Use the Service for any purpose other than managing a legitimate sports organization
- Reverse-engineer, decompile, or disassemble any part of the Service
- Resell, sublicense, or redistribute the Service without our written consent
We reserve the right to investigate and take appropriate action against any violation, including suspending or terminating your account.
8. Payment Collection on Behalf of Clubs
Centro enables Clubs to collect Online Payments from their Members (parents, players) through the platform via Stripe Connect. When you collect payments through Centro:
- The Club is the merchant of record for all transactions with its Members.
- The Club is responsible for its own refund policies and disputes with its Members.
- The Club agrees to comply with all applicable tax laws and reporting requirements.
- Centro is not a party to the transaction between the Club and its Members.
- Stripe's terms of service additionally apply to payment processing.
9. Digital Waivers
Centro provides tools that allow Clubs to create, distribute, and collect digital waivers and forms. By using these features:
- Clubs are solely responsible for the content, accuracy, and legal enforceability of waivers they create. Centro does not review, approve, or guarantee the legal validity of any waiver created by a Club.
- Centro provides the technology platform for waiver collection but does not provide legal advice. Clubs should consult their own legal counsel regarding waiver content and enforceability.
- Centro is not liable for any loss, claim, or damage arising from the enforceability or unenforceability of waivers created by Clubs on the platform.
10. Intellectual Property
The Service, including its design, features, code, text, graphics, logos, and branding, is owned by Centro and protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works based on our intellectual property without our written consent.
"Centro" and the Centro logo are trademarks of Centro. You may not use our trademarks without prior written permission.
11. Third-Party Services
The Service integrates with or links to third-party services (including Stripe, Clerk, and others). Your use of these third-party services is subject to their respective terms and privacy policies. We are not responsible for the actions or omissions of third-party service providers.
12. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not warrant that the Service will be uninterrupted, error-free, or secure. We do not warrant the accuracy or completeness of any information provided through the Service. You use the Service at your own risk.
13. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CENTRO SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, REGARDLESS OF THE THEORY OF LIABILITY.
OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.
14. Indemnification
You agree to indemnify, defend, and hold harmless Centro, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising from your use of the Service, your violation of these Terms, or your violation of any rights of a third party.
Centro agrees to indemnify, defend, and hold harmless you from any third-party claims arising directly from Centro's infringement of a third party's intellectual property rights or Centro's gross negligence or willful misconduct resulting in a breach of your personal data held by Centro, subject to the limitation of liability set forth in Section 13.
15. Dispute Resolution
15.1 Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law provisions.
15.2 Arbitration
Any dispute arising out of or relating to these Terms or the Service shall be resolved by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. The arbitration shall be conducted in Miami-Dade County, Florida. Judgment on the award may be entered in any court having jurisdiction.
15.3 Class Action Waiver
You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. You waive any right to participate in a class action against Centro.
15.4 Limitation on Claims
Any claim arising from or related to these Terms or the Service must be filed within one (1) year after the cause of action arises, or it is permanently barred.
16. Service Availability
We strive to maintain high availability of the Service but do not guarantee uninterrupted access. The Service is provided without any guaranteed uptime or service level agreement (SLA). We may perform scheduled maintenance, during which the Service may be temporarily unavailable. We will make reasonable efforts to notify users of planned downtime in advance.
17. Force Majeure
Centro shall not be liable for any failure or delay in performing its obligations under these Terms where such failure or delay results from circumstances beyond our reasonable control, including but not limited to: acts of God, natural disasters, pandemics, war, terrorism, government actions, power outages, internet or telecommunications failures, failures of third-party service providers (including but not limited to Stripe, Clerk, Vercel, and database providers), cyberattacks, or any other force majeure event. During any such event, Centro's obligations under these Terms are suspended for the duration of the event.
18. Electronic Signatures and Communications
18.1 Consent to Electronic Transactions
By using the Service, you consent to conduct transactions and receive communications electronically in accordance with the Federal Electronic Signatures in Global and National Commerce Act (ESIGN Act, 15 U.S.C. § 7001 et seq.) and Florida's Uniform Electronic Transaction Act (UETA, Chapter 668, Florida Statutes).
18.2 Electronic Signatures
The Service allows clubs to create waivers and other documents that may be signed electronically by members, parents, and guardians. By signing a document electronically through the Centro platform (including typing your name, drawing a signature, or clicking an "I Agree" button), you agree that your electronic signature is the legal equivalent of your handwritten signature and that you intend to be bound by the terms of the signed document.
18.3 Club Responsibility for Waivers
Clubs are solely responsible for the content, legality, and enforceability of waivers and documents they create and distribute through the Centro platform. Centro provides the technology to collect electronic signatures but does not review, approve, or guarantee the legal sufficiency of any waiver or document created by a club. Clubs should consult with their own legal counsel to ensure their waivers meet applicable legal requirements.
18.4 Records Retention
Electronic signatures and signed documents are stored securely on the Centro platform and are available for download by authorized club administrators. You are responsible for maintaining your own copies of signed documents. While Centro retains signed documents as long as your account is active, we recommend downloading and storing copies independently.
18.5 Withdrawal of Consent
You may withdraw your consent to receive electronic communications by contacting us at support@withcentro.com. However, withdrawing consent may limit your ability to use certain features of the Service that require electronic signatures or communications.
19. Changes to These Terms
We may modify these Terms at any time. Material changes will be communicated via email or a prominent notice on the Service at least 30 days before they take effect. Your continued use of the Service after the effective date of changes constitutes acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Service.
20. General Provisions
- Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Centro.
- Severability: If any provision is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
- Waiver: Our failure to enforce any right or provision of these Terms shall not be considered a waiver of those rights.
- Assignment: You may not assign or transfer your rights under these Terms without our consent. We may assign our rights at any time without notice.
- No Partnership: These Terms do not create a partnership, joint venture, agency, or employment relationship between you and Centro.
